NO PURCHASE NECESSARY. 1. The Hershey's Two Minute Drill Sweepstakes (the "Sweepstakes") begins August 1, 2002 at 12:01 AM eastern time and ends October 31, 2002 at 11:59 PM eastern time (the "Sweepstakes Period"). The Sweepstakes is open to legal U.S. residents 18 years of age or older at time of entry. THERE ARE TWO WAYS TO PLAY:

1. Physical eDecoder: The first way to play is by using your physical Hershey's Two Minute Drill eDecoder. To get your physical eDecoder, look for the Hershey's Two Minute Drill display at participating stores. Take one (1) free eDecoder Sweepstakes piece. All eDecoder Sweepstakes pieces are identical and can be used continuously throughout the Sweepstakes Period to reveal if you are a winner). Go to [Only registered and activated users can see links. Either login above or Register Now] and follow the directions on the screen, which will ask for your name and address, email address, birth date and daytime phone number. There will be instructions to guide you through the Sweepstakes. On the Sweepstakes page, arrows will direct you to hold your eDecoder Sweepstakes piece up to the special icon on the screen and you will be told instantly whether you are a winner and what prize you have won. Physical eDecoders at the displays are on a "while supplies last" basis. Once they are gone, there will be no more put in the displays.

A winner will be considered to be the authorized subscriber of the email account, at the time of entry. Should multiple users of the same email account enter the Sweepstakes and a dispute arises regarding the identity of the entrant, the authorized subscriber of the email account, at the time of entry, will be considered the entrant. The definition of an account subscriber is the natural person who is assigned an email address by an internet access provider, on-line service provider or other organization which is responsible for assigning email addresses or the domain associated with the submitted email address. Sponsor is not responsible for electronic transmission errors resulting in omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions or limitations of any kind, or inaccurate transmissions of or failure to receive entry information by Sponsor or presenter on account of technical problems or traffic congestion on the Internet or at any website or any combination thereof. If for any reason the Internet portion of the program is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, earthquake, flood, fire, storm or other natural disaster, act of God, labor controversy or threat thereof, civil disturbance or commotion, disruption of the public markets, war or armed conflict (whether or not specifically declared) or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this sweepstakes, the Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Sweepstakes. Caution: Any attempt by a contestant to deliberately damage any web site or undermine the legitimate operation of the Sweepstakes is a violation of criminal and civil laws and should such an attempt be made, Sponsor reserves the right to seek damages from any such contestant to the fullest extent of the law. All entries become the exclusive property of the Sponsor and will not be acknowledged. Winning eDecoder plays will be randomly interspersed throughout the Sweepstakes Period. Random, computer-generated winning times will be created for each day of the Sweepstakes Period. If you are the first player to play the Sweepstakes at or after the randomly generated times you will be an instant winner. The Sweepstakes results will be instantly displayed. Odds of winning any Instant Win prize are based on the number of game plays that occur during the Promotion Period.

3. PRIZES. One (1) Grand Prize-A four day, three-night trip for the winner and one (1) travel companion to San Diego, CA. Trip includes: round trip coach air transportation for two to from an airport nearest winner's residence to San Diego, CA, three nights double occupancy hotel accommodations, (two persons, one room), ground transportation to and from the ESPN Sports Center set, a chance to "hang out" at the ESPN Sports Center set, a chance to meet with Brett Favre and Donovan McNabb, two (2) tickets to an ESPN party and $1,000.00 spending money for the winner. Approx. Retail Value (ARV) $4,500.00. Trip must be taken from January 24, 2003 to January 27, 2003. Any expenses not mentioned are the sole responsibility of the winner. Mr. Favre and Mr. McNabb will make every effort to attend the meeting, however under certain circumstances it may necessary for either or both to miss the meeting because of unforeseen commitments elsewhere. In such an event, winner will receive only the remainder of the prize. If the chosen winner cannot take the trip, for any reason, he/she will forfeit the trip and another winner will be chosen, at random from all eligible entries. There will be no cash alternative of the trip awarded. One Thousand (1,000) First Prizes. A $50.00 Steiner Sports Collectibles Cash Certificate good on a variety of sports memorabilia. No prize substitution or cash equivalent of prize except at Sponsor's sole discretion due to prize unavailability for any reason and only then for prize of comparable value.

4. SECOND CHANCE SWEEPSTAKES. In the event that all prizes are not awarded in the advertised Sweepstakes during the Sweepstakes Period, such prizes will be awarded in a Second Chance Sweepstakes, picked at random, from all people who registered in the regular Sweepstakes and did not win a prize. Each participant in the Sweepstakes who did not win a prize will receive one (1) entry into the Second Chance Sweepstakes regardless of how many times they played during the Sweepstakes Period. This random drawing will take place on or about November 11, 2002 by an independent judging organization. Odds of winning a Second Chance prize will be determined by the number of unclaimed prizes and the number of eligible entries.

5. ELIGIBILITY. : Employees and their immediate families (spouses and parents, siblings and children and their spouses) of Sponsor, EIV, Microsoft Corporation and their respective affiliates or subsidiaries, advertising agencies and any other company involved with the design, production, execution or distribution of this promotion are ineligible to participate in the Sweepstakes.
