Official Rules

NO PURCHASE OR PLAY NECESSARY. A PURCHASE OR PLAY WILL NOT INCREASE YOUR CHANCES OF WINNING. OPEN ONLY TO U.S. RESIDENTS 21 YEARS OF AGE OR OLDER. VOID IN PUERTO RICO AND WHERE PROHIBITED.

1. Eligibility: Harrahs.com® World Series Of Poker® Instant Win Game and Sweepstakes (the "Promotion") is open only to legal residents of the fifty (50) United States and the District of Columbia who are at least twenty-one (21) years old at the time of entry. Employees of Harrah's Operating Company, Inc., ePrize, LLC, and their respective subsidiaries, affiliates, or parent companies as well as the immediate family (spouse, parents, siblings, children, son-in-law, daughter-in-law, mother-in-law, father-in-law, step-parents, step-children, grandmother, grandfather, grandchildren and any other relative) and household members of each such employee are not eligible. Individuals who are excluded from casino facilities, including through a government program, at Harrah's discretion, or by their own request, are not eligible. If asked, entrant must provide valid proof of age by way of valid picture identification (driver's license, passport, state identification card, or military identification card). The Promotion is subject to all applicable federal, state and local laws and regulations including gaming, and all aspects of the Promotion are subject to the approval of appropriate regulatory authorities. Void in Puerto Rico and where prohibited. Participation constitutes entrant's full and unconditional agreement to these Official Rules and Sponsor's decisions, which are final and binding in all matters related to the Promotion. All decisions regarding the interpretation of rules, eligibility, and the selection of winners for this Promotion lie solely with Sponsor whose decisions are final. Winning a prize is contingent upon fulfilling all requirements set forth herein. The Promotion consists of a sweepstakes (the "Sweepstakes") and an instant win game (the "Instant Win Game")

3. Timing: The Promotion begins at 12:01 a.m. Eastern Time ("ET"), August 19, 2004 and ends at 11:50 p.m. ET, April 30, 2005 (the "Promotion Period").

4. How to Enter:

a. Instant Win Game: Go to [Only registered and activated users can see links. Either login above or Register Now] and follow the link to the promotion. Completely fill out the registration form and submit. Once submitted, you will advance to the Instant Win Game page where you will select one (1) of the nine (9) poker players on the screen. Once the cards have been dealt, you will be able to see the 5 card FLOP. Your player's cards as well as the other four players' cards will then turn over to reveal your full hand. If the player you chose has the winning hand, you are a potential winner. Entrants will be notified immediately by email if they are potential winners of the Instant Win Game and will be provided directions for validation. Administrator is responsible for the functionality of the Instant Win Game. Limit: One (1) entry per person, per email address, per household, per day during the Promotion Period. Each day begins at 12:00:00AM ET and ends at 11:59:59PM ET. Winning Poker hands from Highest to Lowest: Royal Flush (consists of Ace, King, Queen, Jack and 10 of the same suit); Straight Flush (five consecutive cards of the same suit); Four of a Kind (all four cards of the same rank, the highest is four Aces and the lowest, four 2s); Full House (three of a kind and one pair, the pair is not used to determine rank); Flush (five cards of the same suit, if there are two or more flushes in one game, then the flush with the highest ranked card wins); Straight (five consecutive cards of different suits- Aces may be used before a two or after a King, when two players have straights, the hand headed by the highest ranked card wins); Three of a kind; Two Pairs; One Pair; No Pair (the player holding the highest card wins (High Card (Ace, King, Queen, Jack, Ten, Nine, Eight, etc.))

b. Sweepstakes: Each time you play the Instant Win Game during the Promotion Period, you automatically will be entered into the Sweepstakes. Subject to restrictions herein.

c. Friend Referral Program: You will be given the opportunity to refer up to five (5) friends to tell them about the Promotion, each of whom will be sent an email on your behalf regarding the Promotion. For each valid referral, you will receive one (1) additional Instant Win Game play, up to a total of five (5) Instant Win Game plays during the Promotion Period; and one (1) additional Sweepstakes entry, up to a total of five (5) during the Promotion Period. You may only refer persons with whom you have an existing personal relationship and to whom an email from you would not be considered spam.

d. Mail-in Alternate Method: For the Instant Win Game: send in a 3"X5" piece of paper with your name, address, phone number, and email address (if any) and mail it in an envelope with proper postage to "Harrah's WSOP Giveaway", c/o ePrize, LLC, PO BOX 1703, Grand Rapids, MI 49501-1703. Administrator, an independent judging organization will play the Instant Win Game on your behalf. Administrator will determine the day and the time that Administrator will play the Instant Win Game for you at its sole discretion. If you win a prize and it is verified, you will be notified by receiving the prize 8-10 weeks after the Promotion Period. All entries must be postmarked by April 23, 2005 and received by April 28, 2005. For the Sweepstakes: Each time you mail-in an entry as described above, you will receive one (1) entry into the Sweepstakes. To enter the Sweepstakes you must postmark your entry addresses as described above by April 23, 2005 and received by April 28, 2005. Limit: one (1) entry per person, per household, per day during the Promotion Period plus five (5) entries at any time during the Promotion Period.

For All Entries: Use of any automated system to participate is prohibited and will result in disqualification. Sponsor is not responsible for lost, late, postage due, incomplete, invalid, unintelligible or misdirected registrations, which will be disqualified. All entries are subject to review and verification. In the event of a dispute as to any registration or play, the authorized account holder of the email address used to register will be deemed to be the registrant or player. The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Potential winners may be required to show proof of being the authorized account holder.

5. ALL POTENTIAL WINNING PLAYS ARE SUBJECT TO VERIFICATION BY SPONSOR OR ADMINISTRATOR, WHOSE DECISIONS ARE FINAL AND BINDING. AN ENTRANT IS NOT A WINNER OF ANY PRIZE, EVEN IF THE INSTANT WIN GAME SHOULD SO INDICATE, UNLESS AND UNTIL ENTRANT'S ELIGIBILITY AND THE POTENTIAL WINNING PLAY HAS BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE. SPONSOR WILL NOT ACCEPT SCREEN SHOTS OR OTHER EVIDENCE OF WINNING IN LIEU OF ITS VALIDATION PROCESS. ANY PLAY THAT OCCURS AFTER THE SYSTEM HAS FAILED FOR ANY REASON IS DEEMED A DEFECTIVE PLAY AND IS VOID AND WILL NOT BE HONORED.

6. Instant Win Game/Sweepstakes Prize Selection: All selected winners must comply with all terms and conditions of these Official Rules, and winning is contingent upon fulfilling all requirements. Instant Win Game: Administrator, an independent judging organization, whose decisions as to the administration and operation of the Instant Win Game and the selection of potential winners are final and binding in all matters related to the Promotion. There will be five hundred eighty-five (585) random winning times during the Promotion Period. If you are the first player to play the Instant Win Game at or after one (1) of the randomly generated times you will be a potential instant winner of the prize indicated. Sweepstakes: Administrator is an independent judging organization, whose decisions as to the administration and operation of the Sweepstakes and the selection of potential winners are final and binding in all matters related to the Promotion, will randomly select the potential Sweepstakes winner on or about May 3, 2005 from all eligible entries received. Potential winners must continue to comply with all terms and conditions of these Official Rules, and winning is contingent upon fulfilling all requirements. The potential Sweepstakes Grand Prize winner will be required to return within two (2) days of the date notice or attempted notice is sent, an affidavit of eligibility, and liability/publicity release in order to claim his/her prize. If any potential winner cannot be contacted, or fails to sign and return the affidavit of eligibility, liability/publicity release within the required time period (if it was required), or a prize is returned as undeliverable, the potential winner forfeits the prize. Potential winners may be required to show valid picture identification (driver's license, passport, state identification card, or military identification card) in order to collect prize. If winner is not a U.S. citizen, a current passport or alien registration card is required. In the event that a potential winner is disqualified for any reason, Sponsor will award the applicable prize to an alternate winner by random drawing from among all remaining eligible entries received during the Promotion Period. Only three (3) alternate drawings will be held after which the prize will remain unawarded. All confirmed 1st, 2nd and 3rd prize instant winners will receive their prizes approximately 8-10 weeks after the conclusion of the Instant Win Game.

7. Instant Win Game and Sweepstakes Prizes: INSTANT WIN PRIZES: FORTY-FIVE (45) FIRST PRIZES: $250 Visa® Check Card. Approximate retail value ("ARV") is $250. ONE HUNDRED THIRTY-FIVE (135) SECOND PRIZES: $100 Visa® Check Card. ARV is $100. FOUR HUNDRED FIVE (405) THIRD PRIZES: $50 Visa® Check Card. ARV is $50. Odds of winning an Instant Win Game prize depends on the number of eligible plays divided by the total number of Instant Win Game prizes. Limit: One (1) Instant Win Prize per person, per email address, per household during the Promotion Period. SWEEPSTAKES PRIZE: ONE (1) GRAND PRIZE: $10,000 cash and winner's option to use cash prize for entry into the 2005 World Series of Poker® held at Rio All-Suite Hotel & Casino from June 3, 2005 - July 15, 2005. Transportation, lodging and all other expenses directly or indirectly associated with entry into the World Series of Poker® not included. Approximate Retail Value of prize is $10,000. Odds of winning the Sweepstakes prize depend on the number of eligible entries received. ALL PRIZES: No cash or other substitution, assignment or transfer of any prizes permitted, except by Sponsor, who reserves the right to substitute a prize or prize component with cash or another prize of comparable or greater value. Winner is responsible for all federal, state and local taxes and fees associated with prize receipt and/or use. TOTAL ARV OF ALL PRIZES: $55,000.

8. Publicity: Except where prohibited, participation in the Promotion constitutes winner's consent to Sponsor's use of entrant's name, likeness, photograph, voice, opinions, biographical information, hometown and state for promotional purposes in any media without further payment or consideration.

9. General Conditions: Sponsor reserves the right to cancel or modify the Promotion if fraud, technical failures or any other factor beyond Sponsor's reasonable control impairs the integrity of the Promotion, as determined by Sponsor in its sole discretion. In such event, Sponsor reserves the right to award the prizes at random from among the eligible entries received up to the time of the impairment. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Promotion or to be acting in violation of these Official Rules, or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately damage any web site or undermine the legitimate operation of the Promotion is a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

10. Release: By entering this Promotion, entrant agrees to release and hold harmless, Harrah's Entertainment, Inc., ePrize, LLC, and any promotional partners, each of their related companies, parents, affiliates, subsidiaries, wholesalers, retailers, and each of their respective officers, directors, employees, and agents from and against any losses, damages, rights, claim or cause of action of any kind arising, in whole or in part, directly or indirectly, out of participation in the Promotion or resulting directly of indirectly, from acceptance, possession, use, or misuse of any prize awarded in connection with the Promotion, including without limitation personal injury, death, and/or property damage, as well as claims based on publicity rights, defamation, and/or invasion of privacy.

11. Limitations of Liability: Sponsor is not responsible for: (i) technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware or software; (ii) the unavailability or inaccessibility of any transmissions or telephone or Internet service; (iii) unauthorized human intervention in any part of the entry process or the Promotion; (iv) electronic or human error which may occur in the administration of the Promotion or the processing of entries; or (v) any injury or damage to persons or property, including but not limited to entrant's computer, hardware or software, which may be caused, directly or indirectly, in whole or in part, from entrant's participation in the Promotion or receipt of any prize awarded.

12. Disputes: Entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Promotion, or any prizes awarded, other than the administration of the Promotion or the determination of winners, shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the District of Nevada or the appropriate Nevada State Court located in Clark County, Nevada; (ii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion but in no event attorneys' fees; and (iii) under no circumstances will entrant be permitted to obtain awards for and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of Nevada, without giving effect to any choice of law or conflict of law rules (whether of the State of Nevada or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Nevada.
