Official Rules

NO PURCHASE REQUIRED TO ENTER OR WIN.

1. Eligibility: The Kids Go HoJo College Scholarship Sweepstakes (the "Promotion") consists of a Sweepstakes (the "Sweepstakes") and an Instant Win Game (the "Instant Win Game"). The Promotion is open only to legal residents of the 50 United States (and the District of Columbia) and Canada (excluding the Province of Quebec) who are parents (or legal guardians) of a child under the age of 12 years old at the time of entry. Employees, officers and representatives of Howard Johnson International, Inc. its affiliates, franchisees, all promotional or fulfillment agencies involved in the Promotion, as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee, officer or representative are not eligible to participate. The Promotion is subject to all federal, state, provincial, and local laws and regulations. Odds of winning in the Sweepstakes will depend on the number of eligible entries received for the drawings. Odds of winning an Instant Win Game prize are based on the number of eligible registrants during each day of the Promotion Period. VOID IN the Province of QUEBEC, PUERTO RICO AND WHERE PROHIBITED.

3. Agreement to Official Rules: By participating in the Promotion, each entrant fully and unconditionally agrees to and accepts these Official Rules and the decisions of Sponsor, which are final and binding.

4. Timing: The Promotion begins at 12:01 a.m. Eastern Time ("ET") March 1, 2004 and ends at 11:50 p.m. ET, February 28, 2005 (the "Promotion Period").

5. How to Enter: To enter online: Go to [Only registered and activated users can see links. Either login above or Register Now], and follow the links and instructions for entry. After you complete and submit the registration form you will automatically receive one (1) entry into the Sweepstakes and you will advance to the Instant Win Game page and receive one (1) Instant Win Game play. Once on the Instant Win Game page, you can "color" on the screen with a Crayola ® crayon to see if you are an instant winner. You will receive one (1) Instant Win Game play per each child mentioned on the registration form. LIMIT: one (1) Sweepstakes entry per entrant, per email address during the Promotion Period and one (1) Instant Win Game play for each child listed on the registration form. Tell-A-Parent: Earn extra Instant Win Game plays. When you register for the Promotion, you will have the opportunity to earn bonus Instant Win Game plays by referring your friends who are also parents to play. When prompted, enter the name and email address of up to five (5) friends who are also parents. An email will be sent out to each of your referred friends indicating that you have invited them to participate in the Promotion. You will receive one (1) bonus Instant Win Game play for each friend referred for a total of up to five (5) additional Instant Win Game plays. You may only refer persons with whom you have an existing personal relationship. An email from you to your friend would not be considered spam. All entries must be received during the Promotion Period. Use of any automated system to submit entries is prohibited and will result in disqualification. In the event of a dispute as to any online entry, the authorized account holder of the email address used to enter will be deemed to be the entrant. The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Potential winners may be required to show proof of being the authorized account holder.

6. Instant Win and Drawings: Instant Win Game: Ninety-Seven (97) random, computer-generated winning times will be generated during the Promotion Period, one (1) time for each of the prizes listed below. If you are the first player to play the Instant Win Game at or after one (1) of the randomly generated times, you will be a potential instant winner. If you are the potential winner of an Instant Win Game prize, you will automatically receive a notification message at the email address you used to register. Sweepstakes: A random drawing for all prizes will be conducted in accordance with these Official Rules on or about March 21, 2005. The drawing will be conducted in accordance with these Official Rules on Sponsor's behalf by an independent judging organization whose decisions as to the administration of the Sweepstakes and the selection of potential winners will be final and binding in all matters related to the Promotion. Entrants selected must comply with all terms and conditions of these Official Rules and winning is contingent upon fulfilling all requirements. Except where prohibited, the potential Grand Prize winner of the Sweepstakes must sign and return to Sponsor, within ten (10) days of being notified, an affidavit of eligibility (including compliance with these Official Rules) and liability/publicity release (or Declaration of Compliance if Canadian resident) in a form designated by Sponsor in order to claim his/her prize. If a potential winner cannot be contacted within ten (10) days after the first attempt to contact him/her, if he/she fails to sign and return the affidavit of eligibility and liability/publicity release within the required time period, or if he/she does not otherwise meet the eligibility requirements of this Promtion, an alternate entrant will be selected in his/her place at random from among all eligible entries received. A potential Grand Prize winner will be redrawn until a Grand Prize is awarded. If a potential Instant Win prize winner is disqualified for any reason, the Instant Win prize will go unawarded. Potential winners of both the Sweepstakes and the Instant Win Game who are residents of Canada will be required to answer correctly a time-limited, mathematical skill-testing question by phone or email, without assistance of any kind, whether mechanical or otherwise, to be declared a winner. If this skill-testing question cannot be administered to the potential winner within seven (7) days of Sponsor's initial attempt to contact the potential winner, the potential prize winner will be deemed to have forfeited any prize and will be disqualified. Winners of the Instant Win Game who meet all of the eligibility requirements and have fully complied with these Rules, will receive their prize within 8-10 weeks after the conclusion of the Promotion.

7. Sweepstakes and Instant Win Game Prizes. Sweepstakes: Grand Prize: One (1) Grand Prize winner will become entitled to receive up to a $50,000 College Tuition Scholarship upon satisfaction of the following conditions for the winner's child: (i) graduation from high school, (ii) enrollment in an accredited college, university, vocational or technical school, art school or similar educational institution within two years after high school graduation, and (iii) attainment of age 18. The winning parent must choose one (1) child that will receive the scholarship at time of winning. The scholarship will be paid out in equal annual installments over the anticipated length of the education program (e.g., a student attending a four-year college program would be entitled to receive a maximum of $12,500 per year). The funds paid out each year will not exceed the tuition cost for such year, and will not exceed a total of $50,000. The winner's child will forfeit all of or a portion of the College Tuition Scholarship if he/she fails to meet the conditions stated above by age 21 or has a break in enrollment of more than one year in his/her education program. Before paying any installment of the Scholarship to the winner, Sponsor may require evidence reasonably satisfactory to it of the winner's continued eligibility in accordance with the condition of this paragraph. Approximate Retail Value ("ARV"): $50,000. Instant Win Prizes: First Prize: Five (5) prize winners will receive a Crayola ® kid's room furnishings prize bundle. Includes: Crayola ® Lamp, Wall Paper Border, Appliqués, one (1) Giant Crayola ® Crayon, and one (1) Crayola ® Easel. ARV: $122. Second Prize: Five (5) prize winners will receive Crayola ® Lamps. ARV: $20. Third Prize: Ten (10) prize winners will receive Crayola ® easels. ARV: $27. Fourth Prize: Twenty-Five (25) prize winners will receive Large Crayola ® crayons. ARV: $25. Fifth Prize: Fifty-Two (52) prize winners will receive one of the following prize packages containing the following Crayola ® products: Color Changeable Markers, Click Em on Markers, Sidewalk Paint Bucket, Create and Play Pop Out, Super Sparkle Glitter Glue and Window Fx Markers. Sponsor will choose the prize it gives to winners in its sole discretion. ARV: $31.91. For all prizes: No cash or other substitution, assignment or transfer of prizes permitted, except by Sponsor, which reserves the right to substitute a prize or prize component with another of comparable or greater value. Winner is solely responsible for all taxes and fees associated with prize receipt and/or use. Total ARV: $53,264.32.

ALL POTENTIAL INSTANT WIN GAME AND SWEEPSTAKES WINNERS ARE SUBJECT TO VERIFICATION BY SPONSOR OR ADMINISTRATOR , WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE PROMOTION. 8. Publicity: Except where prohibited, participation in the Promotion constitutes winner's consent to Sponsor's use of winner's name, likeness, voice, opinions, biographical information, hometown and state for promotional purposes in any media without further payment or consideration.

9. General Conditions: Sponsor reserves the right to cancel or modify the Promotion if fraud, technical failures or any other factor beyond Sponsor's reasonable control impairs the integrity of the Promotion, as determined by Sponsor in its sole discretion. In such event, Sponsor reserves the right to award the prizes at random from among the eligible entries received up to the time of the impairment. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Promotion or to be acting in violation of these Official Rules, or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately damage any web site or undermine the legitimate operation of the Promotion is a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

10. Release: By entering this Promotion, entrant agrees to release and hold harmless, Sponsor, its affiliates and related companies, Binney &Smith, Inc, all promotional and fulfillment agencies, and each of their respective officers, directors, employees, shareholders, and agents from and against any claim or cause of action arising out of participation in the Promotion or receipt or use of any prize.

11. LIMITATIONS OF LIABILITY: IN NO EVENT SHALL SPONSOR, ITS AFFILIATES AND RELATED COMPANIES, ITS PROMOTIONAL AND FULFILLMENT AGENCIES, BINNEY & SMITH,INC, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS OR AGENTS (COLLECTIVELY HEREIN, PARTIES BE LIABLE FOR: (I) TECHNICAL FAILURES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, THE MALFUNCTIONING OF ANY COMPUTER, CABLE, NETWORK, HARDWARE OR SOFTWARE; (II) THE UNAVAILABILITY OR INACCESSIBILITY OF ANY TRANSMISSIONS OR TELEPHONE OR INTERNET SERVICE; (III) UNAUTHORIZED HUMAN INTERVENTION IN ANY PART OF THE ENTRY PROCESS OR THE PROMOTION; (IV) ELECTRONIC OR HUMAN ERROR WHICH MAY OCCUR IN THE ADMINISTRATION OF THE PROMOTION OR THE PROCESSING OF ENTRIES; (V) ANY INJURY, LOSS, CLAIM, DAMAGE, OR ANY SPECIAL, PUNITIVE, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND (INCLUDING, BUT NOT LIMITED TO LOST PROFITS OR LOST SAVINGS), WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, TO PERSONS OR PROPERTY, INCLUDING, BUT NOT LIMITED TO, ENTRANT'S COMPUTER, HARDWARE OR SOFTWARE, WHICH MAY BE CAUSED, DIRECTLY OR INDIRECTLY, IN WHOLE OR IN PART, FROM ENTRANT'S PARTICIPATION IN THE PROMOTION OR THAT ARISE OUT OF OR ARE IN ANY WAY CONNECTED WITH THE USE, OR THE INABILITY TO USE, THE HOWARDJOHNSON.COM WEBSITE OR THE SERVICES OR MATERIALS ON THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE PARTIES EXCEED THE TOTAL CHARGES SET FORTH IN THE ITINERARY GIVING RISE TO SUCH LIABILITY. 12. Disputes: Entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Promotion, or any prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the District of Michigan (Eastern Division), or the appropriate Michigan State Court located in Oakland County, Michigan, U.S.A.; and (ii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion but in no event attorneys' fees.

All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of Michigan without giving effect to any choice of law or conflict of law rules (whether of the State of Michigan, U.S.A. or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Michigan, U.S.A.
