1. How to Enter Random Drawing and Play Instant Win Game ("IWG"): Product Codes will be available on specially marked packages of Beech-Nut® Baby Food until 12/31/02, or while supplies last. Either login above or Register Now] from 12:00:01 AM ET on 10/22/02 through 11:59:59 PM ET on 12/31/02. Follow the instructions provided, and enter the Product Code along with all required registration information to see if you are an instant winner. If the message on the Web site reveals you are an instant winner (subject to verification), you will either be notified via e-mail or directly sent your prize (See Rule #4). You will be automatically entered into the Grand Prize drawing each time you play the "IWG" portion of the Promotion after you have registered the first time. Once initial entry is submitted, another way to earn additional entries in the Grand Prize drawing is by submitting the e-mail addresses of friends that you think will be interested in the sweepstakes. For every friend you refer that subsequently enters the sweepstakes, you will receive one (1) additional entry in the Grand Prize drawing. 2. No Purchase Necessary: For a chance to win instantly and be entered into the Grand Prize drawing without playing online, handprint your name, complete address, zip code, phone number and age on a plain 3" x 5" paper and mail in a hand-addressed stamped envelope to: Beech-Nut’s Buy "Gold" Win Gold Entry, P.O. Mail-in entry entitles the entrant to an entry in the Grand Prize drawing and a play in the instant win game, which will be played on behalf of the mail-in participant by the Administrator. Only winning mail-in entries will be notified. Mail-in entries will not be returned or acknowledged and must be postmarked by 12/31/02 and received by 1/7/03. No mechanically reproduced or photocopied entries accepted. No responsibility is assumed for lost, late, illegible, misdirected or postage-due entries.

3. Sweepstakes Grand Prize and Random Drawing: Grand Prize (1): The cash value of winner’s baby’s birth weight in gold based on the price of gold at the close of business on December 31, 2002 (up to a maximum $50,000 value). In the case of multiples, birth weights of all multiples will be added together and prize will be based on total weight (up to a maximum $50,000 value). (ERV, based on price of gold on 8/23/02 [$306.20/ounce] and a birth weight of 9.5 lbs. = $46,542.40, up to a maximum $50,000 value). Grand Prize winner will be selected, on or about 1/13/03, in a random drawing from among all eligible entries received. Drawing will be conducted by an independent judging organization whose decisions are final on all matters relating to this sweepstakes. Odds of winning the Grand Prize will depend upon the number of eligible entries received. Grand Prize winner will be notified by mail or e-mail.

4. "IWG" Prizes, Approx. Retail Values and Approx. Odds of Winning: First Prize (50): One-year supply of Beech-Nut® baby food, awarded in the form of $10 and $5 coupons, redeemable at any retailers where Beech-Nut® is sold (ARV: $500 each), 1:814,100. Second Prize (250): A roll of 25 gold one-dollar coins (ARV: $25 each), 1:162,820. Third Prize (2,000): One jar of Beech-Nut® baby food, awarded in the form of a product coupon (ARV: $.75 each), 1:20,353. First Prize instant winners will be notified by e-mail. Second and Third Prize instant winners will automatically receive prize upon verification. Unclaimed First, Second and Third Prizes will not be awarded.

5. Eligibility: Sweepstakes open to legal U. S. residents, who are 18 years of age or older as of 10/22/02 and have a child or are legal guardians of a child who is 21 months of age or younger as of 12/31/02. 7. Verification: All instant winners are subject to verification of eligibility. If, due to a technical error of any kind, more participants are deemed to be instant winners, or more instant win prizes are claimed than are intended to be awarded, the intended instant win prizes will be awarded in a random drawing from among all verified prize claims received. In no event will Sponsor be obligated to award more than the stated number of prizes. Use of automated entry devices or programs is prohibited.

8. Releases: The Grand Prize Winner will be required to sign and return an affidavit of eligibility and liability and publicity release, except where prohibited, within ten (10) days of notification before prize is awarded. Instant First Prize winners may be required to verify address within ten (10) days. If winners fail to return the affidavit of eligibility or address verification within ten (10) days, the prize will be forfeited and an alternate winner may be selected, if Grand Prize affidavit is not returned. If potential winner is not reachable at the address provided and a forwarding address is not made available, then the prize will be forfeited and an alternate winner may be selected. All winners, by acceptance of a prize, agree to release Beech-Nut® Nutrition Corp., Kirshenbaum Bond & Partners, their affiliates, subsidiaries, distributors, advertising and promotion agencies from any and all liability, claims or actions of any kind whatsoever for injuries, damages or losses of any kind to persons and property.
