THE SCHWAN'S "HOLIDAY SWEEPSTAKES" PROMOTION OFFICIAL RULES NO PURCHASE REQUIRED TO ENTER OR WIN; PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING

1. ELIGIBILITY:
The Schwan's "Holiday Sweepstakes" Promotion (the "Sweepstakes") is open to legal residents of the forty-eight (4 continental United States or the District of Columbia who are eighteen (1 years of age or older at the time of entry. Employees and directors of Schwan's Sales Enterprises, Inc. ("Sponsor"), Sears, Roebuck and Co., Bluestreak, Inc., their respective parents, subsidiaries, affiliates, agents, successors, and assignees, advertising agencies and promotional companies involved in this Sweepstakes, as well as immediate family (spouse, parents, children, brother(s) and sister(s)), and household members of each of the above are not eligible to participate in the Sweepstakes. The Sweepstakes is subject to all applicable federal and state laws and regulations. Void in Alaska, Hawaii, Puerto Rico and where prohibited by law.

2. SWEEPSTAKES PERIOD:
The Sweepstakes Period begins on October 21, 2002 at 12:00:01 a.m. Central Time ("CT") and ends on January 5, 2003 at 11:59:59 p.m. CT. Entries submitted prior to or after the Sweepstakes Period are void. There are ten (10) separate drawings in this Sweepstakes. See Rule 7 below for drawing periods/entry deadlines.

3. AGREEMENT TO OFFICIAL RULES:
Participation in the Sweepstakes constitutes entrant's full and unconditional agreement to and acceptance of these Official Rules and the decisions of Sponsor or its independent judging organization, which are final and binding in all respects.

4. HOW TO ENTER:
There are three (3) ways to enter:

COMPLETE A FOOD PURCHASE: Purchase any Schwan's product (order may be placed online at [Only registered and activated users can see links. Either login above or Register Now] by calling 888-schwan's, (1-888-724-9267), or directly through a Schwan's Representative) during the Sweepstakes Period and you will automatically receive one entry into the Sweepstakes (upon delivery of the order) for every increment of fifteen dollars ($15) you spend per visit. (Limit of ten (10) new entries per drawing for qualifying purchases via this method.)

REFERRAL: After you complete an online order at [Only registered and activated users can see links. Either login above or Register Now] you will have the opportunity to refer friends to become new Schwan's customers. You will receive one entry into the Sweepstakes for every referral that you submit (up to three (3) entries per drawing period via this method). Referred individual does not have to make a purchase in order for you to receive the entry.

MAIL-IN ENTRY: Hand-print your name, complete address, age, phone number and email address (if any) on a 3"x 5" index card, place it in an envelope and mail it to: Schwan's "Holiday Sweepstakes" promotion, P.O. Box 11266, San Rafael, CA 94912-1266 and you will receive one (1) entry into the Sweepstakes. Limit one entry per outer mailing envelope. No mechanically reproduced mail-in entries will be accepted. All mail-in entries must be postmarked by January 1, 2003 and received by January 7, 2003.

FOR ALL ENTRANTS: LIMIT: THIRTEEN (13) ENTRIES PER PERSON PER DRAWING PERIOD REGARDLESS OF THE METHOD OF ENTRY, FOR A TOTAL OF NO MORE THAN ONE HUNDRED AND THIRTY (130) ENTRIES DURING THE SWEEPSTAKES PERIOD. IF MORE THAN THIRTEEN (13) ENTRIES ARE RECEIVED WITHIN ANY DRAWING PERIOD (SEE RULE 7 BELOW), ONLY THE FIRST THIRTEEN ENTRIES RECEIVED WILL BE ELIGIBLE FOR THE DRAWING AND ALL ADDITIONAL ENTRIES RECEIVED DURING THAT DRAWING PERIOD WILL BE DISREGARDED AS VOID.

5. PRIZES:
TEN (10): Sears Kenmore Elite® Freezers. Color, model and features will be determined by Sponsor in its sole discretion. Approximate retail value ("ARV") of each Prize is $750. ARV of all prizes: $7,500. No cash redemption or other substitution is permitted, except by Sponsor who may substitute a prize of equal or greater value in the event that a prize is unavailable as determined by Sponsor in its sole discretion. Prizes are nontransferable. All applicable taxes and all expenses not specified above are the responsibility solely of winner.

6. ODDS OF WINNING:
Odds of winning are determined by the number of eligible entries received.

7. DRAWINGS:
Prizes will be awarded in ten (10) separate random drawings. The first random drawing will be conducted on or about November 6, 2002 from all entries received by 11:59:59 p.m. CT on Sunday, November 3, 2002. The next eight ( random drawings will held on or about each subsequent Wednesday (beginning November 13, 2002 and ending January 1, 2003) from among all eligible entries received by 11:59:59 p.m. CT the Sunday before the drawing. The final drawing will be held on or about Wednesday, January 8, 2003 from among all eligible online, telephone, and referral entries received by 11:59:59 p.m. CT on January 5, 2003, and all mail-in entries postmarked by January 1, 2003 and received by January 7, 2003. All non-winning entries from previous drawings will remain eligible for subsequent drawings. The drawings will be conducted by Bluestreak, Inc. ("Judge"), an independent judging firm whose decisions are final in all matters relating to this Sweepstakes. Winners will be notified by email and/or telephone (at Judge's discretion).

8. VERIFICATION OF POTENTIAL WINNERS:
Potential winners must comply with all terms and conditions of these Official Rules, and winning is contingent upon fulfilling all requirements. Except where prohibited, each potential winner must sign and return to Sponsor, within ten (10) days of the date notice or attempted notice is sent, an affidavit of eligibility and liability/publicity release in order to claim his/her prize. If the potential winner (or his/her parent or guardian) cannot be contacted, or fails to sign and return the affidavit of eligibility and liability/publicity release within the required time period, the prize may be forfeited and awarded to an alternate winner.

9. PRIVACY:

10. GENERAL CONDITIONS:
Sponsor reserves the right to cancel, suspend and/or modify the Sweepstakes if any fraud, virus or other technical problem or factor beyond Sponsor's reasonable control corrupts or impairs the administration, security, integrity or proper play of the Sweepstakes, as determined by Sponsor in its sole discretion. In such event, Sponsor reserves the right to award all prizes at random from among the eligible entries received up to the time of the impairment. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes may be in violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. In the event of a dispute as to any online entry, the authorized account holder of the email address used to enter will be deemed to be the entrant. The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address.
