1. Eligibility:
This Sweepstakes is open only to legal residents of the fifty United States, the District of Columbia, and Canada (excluding Quebec) who are at least 13 years of age or older as of November 18, 2004. Sweepstakes is void in all other locations, including Quebec, Puerto Rico, the U.S. Virgin Islands, U.S. Military Installations and is void where prohibited or restricted by law. Employees and directors of NBA Properties, Inc., (“Sponsor”), NBA Media Ventures, LLC, the NBA and its member teams, The Coca-Cola Company and its authorized bottlers, America Online, Inc., Foot Locker Retail, Inc., Cellco Partnership d/b/a Verizon Wireless, Twentieth Century Fox, and The Marketing Center (“TMC”), and each of their respective parents, affiliates and subsidiary companies and their advertising and promotional agencies used for this Sweepstakes (collectively the “Sweepstakes Entities”), and the immediate family (spouse, parent, sibling and children, regardless of where they live) or members of their same households (whether related or not) of such individuals are not eligible to enter this Sweepstakes. By entering, you agree to be bound by these Official Rules and the decisions of TMC, the sweepstakes judging organization, which are final and binding in all respects.

2. Sweepstakes Period:
This Sweepstakes begins on November 18, 2004 and ends on January 23, 2005 (“Sweepstakes Period”).

3. How to Enter:
Five ways to enter: 1) Fill out the entry area on the in-arena ballots distributed during the home games of any of the 30 NBA teams and deposit in any of the ballot boxes located around the arena by 1/23/05 or mail ballot postmarked by 1/23/05 and received by 1/27/05 to: 2005 NBA All-Star Life, TMC Group, PO BOX 1550, Pembroke, MA 02359. 2) Legibly hand-print your name, complete address, zip or postal code, age on November 18, 2004, plus day and evening phone numbers with area codes on a 3” x 5” card and enclose it in a first-class stamped envelope and mail to: 2005 NBA All-Star Life, TMC Group, PO BOX 1550, Pembroke, MA 02359. All mail-in entries must be postmarked by 1/23/05 and received by 1/27/05. 3) Fill out entry area on ballots provided at any participating Champs Sports store located throughout the United States and Canada, and deposit in any ballot box located in participating locations by 1/23/05 or mail ballot postmarked by 1/23/05 and received by 1/27/05 to: 2005 NBA All-Star Life, TMC Group, PO BOX 1550, Pembroke, MA 02359. 4) Log on to www.nba.com or America Online, and follow links to Sweepstakes registration page. Fill in online entry form during Sweepstakes Period and submit in accordance with onscreen instructions. Any other attempt at Internet or electronic (e.g., email) entry is void. Internet entries must be received by 1/23/05. 5) If you are a Verizon Wireless service subscriber in the U.S., with GET IT NOW service, download the ballot for free through select Verizon Wireless GET IT NOW wireless phones, fill out the ballot and hit the submit button to send the ballot wirelessly by 1/23/05. You will be charged according to the terms in your Customer Agreement, Calling Plan, and GET IT NOW agreement with Verizon Wireless. Verizon Wireless digital service required. Verizon Wireless subscribers may submit ballots in the other ways listed above. This entry method does not apply to Canadian residents nor anywhere outside the U.S. The Sweepstakes Entities will not verify receipt of entries or ballots. All entries submitted become the sole property of Sponsor and will not be returned. No copies, facsimiles, or mechanical reproductions accepted.

4. Drawing and Notification:
Winners will be selected from all eligible entries received in a random drawing held on or about January 28, 2005 by TMC (“Sweepstakes Administrator”), an independent judging organization whose decisions are final. Potential winners will be notified by mobile telephone number and/or overnight mail/email. If potential Grand Prize winner cannot be reached within three (3) business days from first notification attempt, then such person shall be disqualified and an alternate winner will be selected, time permitting. If Grand Prize winner does not meet eligibility requirements an alternate winner will be selected, time permitting. If potential winner is a Canadian resident, he/she must correctly answer a 4-function arithmetic skill question to claim the prize.

5. Prizes:
One Grand Prize: Trip for two to NBA All-Star 2005 in Denver, CO. Winner and guest must be able to travel on 2/18/05–2/21/05. Trip consists of: Round-trip travel (winner’s choice of coach air, bus or train transportation not to exceed average retail price of round-trip coach air travel from major airport nearest to Grand Prize winner’s residence to Denver, CO) for two from the U.S. or Canadian major airport/bus/train station nearest to Grand Prize winner’s residence to Denver, CO; three days/two nights standard hotel accommodations (1 double occupancy room) at hotel selected by Sponsor; two tickets to NBA All-Star Game on 2/20/05 near the court (actual seats to be determined by Sponsor); access to two NBA media sessions and an NBA All-Star practice; other event passes (as determined by Sponsor); guest locker in either the Eastern or Western Conference All-Stars locker room (to be determined by Sponsor); photo opportunity with members of the NBA All-Star Team; and an NBA All-Star uniform and merchandise. Grand prize travel and hotel arrangements will be made by and are solely within the Sponsor’s discretion. (Approx. Retail Value (“ARV”) $7,000). If the Grand Prize winner is unable to travel 2/18/05–2/21/05, prize will be forfeited and an alternate winner may be selected in Sponsor’s sole discretion. Meals, taxes, gratuities and all other expenses not specifically identified as prizes in these Official Rules are the sole responsibility of the Grand Prize winner. Winner and travel companion must travel on same itinerary. Travel/accommodations subject to availability and restrictions may apply. Ten First Prizes: Authentic autographed merchandise from NBA All-Star 2005 or merchandise from participating partners (ARV $200/ea.). Two Hundred Second Prizes: NBA All-Star merchandise or merchandise from participating partners (ARV $5/ea.). Total ARV of all prizes $10,000. Odds of winning depend on number of eligible entries received. Prize values are expressed in US Dollars. If winner is a minor, prize will be awarded in the name of, or to, his/her parent or legal guardian.

6. Prize Conditions:
Prizes cannot be transferred, assigned, redeemed for cash or substituted, except by Sponsor in its sole discretion, and then prize may be substituted for one of comparable value. Grand Prize Winner will be required to execute an Affidavit of Eligibility, a Liability Release and, where lawful, a Publicity Release within four days of receipt of notification. Travel companion of Grand Prize Winner must also sign a Liability Release and, where lawful, a Publicity Release which must be returned with Affidavit/Release of Grand Prize Winner. If Grand Prize winner or travel companion is a minor, documents must be executed by the parent or legal guardian who must accompany the minor on trip. If any Affidavit or Release is not returned within the respective stated time, or if an entrant is found to be ineligible, or if he/she does not comply with Official Rules, then potential winner will be disqualified and an alternate winner may be selected in Sponsor’s sole discretion. If any prize or prize notification is returned as undeliverable, this will result in disqualification and an alternate winner may be selected in Sponsor’s sole discretion. Verizon Wireless’ GET IT NOW service is not available in all areas. All federal provincial, state or other tax liabilities (including income taxes) will be the sole responsibility of each winner. Except where prohibited by law, winner’s acceptance of the prize constitutes agreement for the Sweepstakes Entities to use said winner’s name, photographs, likeness, statements (if true), biographical information, voice, and city and state of residence for advertising and trade purposes on a worldwide basis and in all forms of media, without further compensation or authorization.

7. Sweepstakes Conditions:
This Sweepstakes is subject to all applicable federal, provincial, state and local laws. By participating, entrants waive any right to claim ambiguity in the Sweepstakes or these Official Rules. WINNERS AND ENTRANTS RELEASE, DISCHARGE AND AGREE TO INDEMNIFY AND HOLD HARMLESS, THE SWEEPSTAKES ENTITIES, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS AND REPRESENTATIVES FROM AND AGAINST ANY AND ALL CLAIMS AND LIABILITY FOR ANY DAMAGES, INJURY OR LOSSES OF ANY KIND (INCLUDING DEATH), TO ANY PERSON OR PROPERTY RESULTING, IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY FROM ACCEPTANCE, POSSESSION, MISUSE OR USE OF ANY PRIZE OR PARTICIPATION IN ANY SWEEPSTAKES RELATED ACTIVITY OR PARTICIPATION IN THIS SWEEPSTAKES.

8. Limitations of Liability:
The Sweepstakes Entities are not responsible for late, lost, damaged, misdirected, incomplete, illegible, undeliverable, destroyed or postage due mail, e-mail or entries; or system errors or failures, or faulty transmissions or other telecommunications malfunctions and/or any hardware or software failures of any kind, or lost, non-accessible or unavailable satellite/network/web site/ISP/Usernet connections, or failed, incomplete or garbled computer, cable or telephone transmissions, or for any problems or technical malfunction(s) of any telephone, including wireless phones, or cable, network or phone lines, computer problems or traffic congestion at the ISP, on the Internet, or at a Website, or combination of any of the foregoing. Further, no responsibility is assumed for any injury or damage to entrant’s or any other person’s computer or wireless phone related to or resulting from entering the Sweepstakes or downloading any material for the Sweepstakes, or for other telecommunications or cable malfunctions which may limit or bar an entrant’s ability to participate. Sponsor is not responsible for incorrect or inaccurate information caused by hacking, tampering or unauthorized third party intervention. Sponsor may prohibit an entrant from participating in the Sweepstakes or winning a prize if, in its sole discretion, it determines that said entrant is attempting to undermine the legitimate operation of the Sweepstakes by cheating, hacking, deception, or other unfair playing practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten or harass any other entrants or Sponsor’s representatives. If for any reason this Sweepstakes is not capable of running as planned, including but not limited to, by reason of infection by computer virus, bugs, worms, tampering, unauthorized intervention, fraud, or any other causes beyond the control of Sponsor which, in the sole opinion of Sponsor, corrupt or affect the administration, security, fairness, integrity or proper conduct of the promotion, then Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend this sweepstakes, or to cancel, terminate, modify or suspend the Internet portion and wireless telephone portion of this Sweepstakes and select winners from Internet entries and wireless ballot entries received prior to the action taken and regular mail-in and ballot box deposited entries. CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE IN VIOLATION OF LAW. An authorized account subscriber or the Account Holder is deemed to be the natural person who is assigned an email address by an Internet access provider, online service provider or other organization which is responsible for assigning email addresses, and the domain associated with the submitted email address or who is assigned a wireless phone number(a/k/a mobile telephone number or MTN) by Verizon Wireless. WITHOUT LIMITING THE FOREGOING, EVERYTHING ON THIS SITE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. 9. Data Collection:
Sponsor will be collecting personal data about participants when they register and enter the Sweepstakes. Please review Sponsor’s privacy policy at http://www.nba.com/news/privacy_policy.html. By participating in the Sweepstakes, entrants hereby agree to all of the terms and conditions of the privacy policy of the Sponsor.

10. Claims/Choice of Law:
(a) Any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes but in no event attorneys fees; and (b) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant, TMC, and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of New York in the United States, without regard for conflicts of law doctrine, and all proceedings shall take place in that State, in the County of New York.
