1. How to Enter: NO PURCHASE NECESSARY. The Platinum Diamond Stud Sweepstakes ("Sweepstakes") begins at 12:01 a.m. (Eastern Time ["ET"]) on August 25, 2004 and ends at 11:59 p.m. (PT) on May 22, 2005 ("Sweepstakes Period"). To Enter: Log on to www.jewelrycentral.com, fill in the on-line entry form and submit it in accordance with the on-screen directions during the Sweepstakes Period and you will be entered; All on-line entries must be received by 11:59 p.m. (PT) on May 22, 2005. Limit of one entry per person. No mechanically reproduced entries permitted. Jewelry Central will not verify receipt of entries. All entries submitted become the sole property of the Sponsor and will not be returned.

2. Eligibility: To enter the Sweepstakes you must be a lawful permanent resident of the U.S. and be 13 years of age or older. Sweepstakes is void in Puerto Rico, U.S. territories and possessions, and where restricted or prohibited by law. The Sweepstakes, and any web site pages and advertisements relating thereto, is intended for viewing only within the United States. You are not authorized to participate in the Sweepstakes if you are not located within the United States. Employees of Jewelry Central, their affiliated companies, parents, subsidiaries and advertising and promotion agencies, (collectively, "Sweepstakes Entities"), and their immediate families and members of their households, are ineligible to participate in this Sweepstakes.

3. Drawing and Notification: Potential winners will be selected from all eligible entries received in a random drawing held on or about May 26, 2005 by AGU, inc. ("Sweepstakes Administrator"), an independent judging organization whose decisions are final and binding in all respects. Odds of winning a prize depend on the number of eligible entries received. Potential winners will be notified by phone and/or mail. If a potential winner cannot be reached within five (5) days from the first notification attempt, then such person shall be disqualified and an alternate winner will be selected.

4. Prize: One (1) Grand Prize: A pair of Platinum Diamond Studs. (Approximate Retail Value ["ARV"]: $2,350.00). Warranties, taxes and other expenses not specifically identified in these Official Rules are the sole responsibility of the Grand Prize winner. No transfer, substitution, or cash equivalent for prizes allowed. Sponsor reserves the right to substitute a prize of equal or greater value if a prize cannot be awarded as described for any reason. Limit one prize per person/family/household.

5. Prize Conditions: Potential Grand Prize winner will be required to execute an Affidavit of Eligibility, a Liability Release and a Publicity Release ("Affidavit/Release"). If winner is deemed a minor in his/her state of residence, then the parent or legal guardian of such minor must also sign any documents required herein. Such documents must be signed and returned by the date and/or time indicated within such documents. If potential winner fails to sign and return such documents within that time, or if an entrant is found to be ineligible, or if he/she does not comply with the Official Rules, then the potential winner will be disqualified and an alternate winner will be selected. If prize notification is returned as undeliverable, this will result in disqualification and an alternate winner will be selected. All federal, state or other tax liabilities (including income taxes) arising from this Sweepstakes will be the sole responsibility of the winner. Except where prohibited by law, the winner's entry and acceptance of the prize constitutes permission for the Sweepstakes Entities to use said winner's name, photograph, likeness, statements, biographical information, voice, and city and state address on a worldwide basis, and in all forms of media, in perpetuity, without further compensation.

6. Sweepstakes Conditions: This Sweepstakes is subject to all applicable federal, state and local laws. By participating, entrants agree to be bound by these Official Rules and the decisions of the Sponsor and Sweepstakes Administrator, and waive any right to claim ambiguity in the Sweepstakes or these Official Rules. Winner and entrants also agree to release, discharge, indemnify and hold harmless the Sweepstakes Entities and each of their respective officers, directors, employees, representatives and agents from and against any claims, damages or liability due to any injuries, damages or losses to any person (including death) or property of any kind resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize or participation in any Sweepstakes-related activity or participation in this Sweepstakes.

7. Limitations of Liability: Sweepstakes Entities are not responsible for late, lost, misdirected, undeliverable or incomplete on-line entries due to system errors or failures, or faulty transmissions or other telecommunications malfunctions and/or on-line entries not received resulting from any hardware or software failures of any kind, lost or unavailable network connections, or failed, incomplete or garbled computer or telephone transmissions, typographical or system errors and failures, or faulty transmissions, or for any problems or technical malfunction(s) of any telephone network or lines, computer on-line systems, servers or providers, computer equipment, or entries not received by Sponsor on account of technical problems or traffic congestion on the Internet, or at a web site, or any combination thereof, including any injury or damage to entrant's or any other person's computer related to or resulting from entering the Sweepstakes or downloading any material for the Sweepstakes, or other telecommunications malfunctions which may limit an entrant's ability to participate. Sponsor may prohibit an entrant from participating in the Sweepstakes or winning a prize if, in its sole discretion, it determines that said entrant is attempting to undermine the legitimate operation of the Sweepstakes by cheating, hacking, deception, or other unfair playing practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten or harass any other entrants or Sponsor representatives. If for any reason this Sweepstakes is not capable of running as planned, including, but not limited to, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, or any other causes beyond the reasonable control of Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of the promotion, then Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes. CAUTION: ANY ATTEMPT BY ANY PARTY TO DELIBERATELY ACCESS SENSITIVE INFORMATION, DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE WEBSITE WILL BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, Jewelry Central RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY'S FEES) FROM ANY SUCH PARTY TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.
